Senior Corporate Paralegal

Job Description

The individual will be responsible to prepare the legal documentation involved in the incorporation, legal organization, statute amendment, amalgamation, or dissolution of corporations and the out of province registration of corporations. He/she will also be responsible for the corporate minute books, government filing, and review of year end corporate financial statements in relation to year end resolutions for regular or capital dividends (if any) and determination of accurate capital stock.

Key Responsibilities
  • Preparing and filing of corporate legal documents such as annual returns, notices of change, articles of incorporation, notices, amendments, dissolutions, by laws, share provisions, resolutions, share certificates, registrations and corporate records.
  • Registering, renewing, and canceling business names and partnerships; gathering information; preparing and filing documents and reports.
  • Reviewing, analyzing, summarizing, updating and maintaining basic to complex minute books and corporate records.
  • Performing due diligence of minute books, identifying deficiencies and material matters, preparing reports recommending manner of rectifying deficiencies; preparing any necessary documents required to comply with governing statutes.
  • Preparing documents precedents according to instructions and information provided by the legal professional and information gathered through own research (examples include resolutions, minutes, and correspondence).
  • Performing regulatory filings namely on Sedar, Sedi, REQ, etc., and dealing with quarterly the filing of press releases, proxy circular, annual report etc.
  • Preparing records and agenda for Board, shareholders, and several committee meetings and organizing the Corporate Board portal for each of these meetings.
  • Sending notice of claims to outside counsels and performing several tasks related to litigations files.
  • Managing the directors’ fees calculation and payment.
  • Managing invoices from outside counsels.
  • Performing other administrative tasks and supporting the General counsel and corporate secretary in her functions.
  • Performing other related duties as may be assigned.

Requirements

Education
  • Para Legal Diploma from a recognized college.
Experience
  • Minimum 10 years of experience in a similar paralegal role in a public company.
Skills & Knowledge
  • Exceptional knowledge of corporate policies and procedures.
  • Excellent proficiency in the Office suite, including Word and Excel.
  • Exceptional attention to detail.
  • Dedicated to providing high quality service.
  • Excellent communication in French and English (both written & verbal).
  • Excellent organizational and time management skills.
  • Exceptional interpersonal skills.
  • Ability to organizing and prioritizing.
